Your site goes live free for one month. Keep it and you pay the build in full, or walk away and owe nothing.
I'll have a first version ready for you within a week of getting your words and photos, and two rounds of changes are included.
Hosting and care is a monthly fee, free during the trial. Either of us can end it with a month's notice.
Your words, photos, logo and domain are always yours. The design and code are mine, and you can use them while you're a client.
Anything extra is quoted first, and you only pay for it if you say yes.
1Who we are
"I", "me" and "my" mean Max Jones trading as Maximus Dev Tech, a sole trader in Essex, England (maximusdevtech.co.uk). "You" means the business I'm building a website for. These terms are for businesses, including sole traders, buying a website for their business.
2The agreement
Before I start, I'll confirm in writing (an email is fine) what's included in your website, any add-ons, and the prices. Those prices are the ones on my prices page on the day you say yes, unless we've agreed something different in writing.
Our agreement starts when you say yes to that confirmation, in writing. It's made up of that confirmation and these terms. If the two ever disagree, the confirmation wins.
I may update these terms. Any change only affects your agreement if you agree to it, apart from changes the law requires.
3The build
What I need from you: your words (or the facts I need to write them), your photos, your logo if you have one, and your opening times, prices and contact details. I can help write the words.
Timescale: I'll have a first version ready for you to look at within one week of having everything I need. I'll tell you straight away if that's ever going to slip.
New features: if your site needs something I'm building for the first time, such as a new booking or ordering system or a feature you've asked for, I'll tell you how long it will take before you agree, and that part may take longer than a week.
Changes: two rounds of changes are included before your site goes live. A round is one list of changes you send me, which I then make together. More rounds, or changes that add something new, are extra work (see 7).
Waiting on you: the one-week clock only runs while I have what I need. If I'm waiting for your content or your reply, the clock stops. If I hear nothing for 60 days, I'll close the project. You won't owe anything for it, and I'll quote again if you want to start back up.
Going live: once you're happy, I put the site live on your domain and show you how your editor works.
4Your free month
Your site goes live free for one month, starting on the day it goes live. That includes hosting and care for that month.
At the end of the month I'll send you an invoice for the full build price and your first month of hosting and care. Pay it, and the site is yours to keep on the terms below.
If you decide not to keep it, just tell me before the month ends, or don't pay the invoice. I'll take the site down and you'll owe nothing. Either way, I'll give you a copy of your words and photos.
The free month is once per business.
5Paying
The build is paid in full, by bank transfer, within 7 days of the invoice at the end of your free month.
Add-ons and extra work are added to that invoice, or invoiced when they're done if they come later.
Hosting and care is paid monthly, in advance, by bank transfer or standing order.
I'm not registered for VAT, so no VAT is added to my prices. If that changes, I'll tell you before it affects anything you pay.
Late payments: if a payment is late I'll send you a friendly reminder. If hosting and care is still unpaid 30 days after it was due, I'll pause your site (it shows a simple "back soon" page). Nothing is deleted, and it comes back as soon as you've paid.
Refunds: the free month is your chance to try the site before you pay, so the build isn't refundable once you've paid for it. That doesn't affect anything in section 13, or my duty to fix something I've built that doesn't work.
6Hosting and care
The monthly fee keeps your site online and looked after. It includes:
hosting your site, and its contact form and editor;
security fixes and updates to the site and editor;
fixing anything I built that stops working, at no charge;
help with your editor when you need it. I'll usually reply within two working days.
Your editor lets you change your words, photos, opening times and news whenever you like. Anything you can't do in the editor is extra work (see 7). I use well-known hosting companies to run your site (Cloudflare and Supabase). I'll do everything I reasonably can to keep it online, but I can't promise it will never go down, for example when one of those companies has a problem.
7Extra work
I take requests for new features and price each one by the amount of work. Extra rounds of changes before going live, new pages, new features, or anything else not already agreed are quoted first. I'll tell you the price, and you only pay if you say yes in writing. Add-on prices are on the prices page.
8What's yours and what's mine
Yours, always: your words, photos, logo, business name, and your domain name. Your customers' messages and bookings belong to you too (see 12).
Mine: the website's design, its code, the editor and the website engine they're built on. I use them for other clients' sites as well.
Your licence: while you're paying for hosting and care (and during your free month), you have the right to use the design and code for your website. That right ends when our agreement ends.
My credit: your site has a small "Built by Max Jones, MDT" line at the bottom, linking to my website.
Showing my work: I may show your website, or a picture of it, as an example of my work, for example on maximusdevtech.co.uk. Tell me if you'd rather I didn't and I'll take it down.
9Your content
You're responsible for what goes on your site, whether you send it to me or add it in your editor. You must have the right to use it, so no photos or words taken from someone else without their permission, and it must be accurate and legal.
If I've added stand-in photos (for example free stock photos while we wait for yours), I'll tell you which they are.
I can remove anything from the site that is illegal, breaks someone else's rights, or could get the site taken down, and I'll tell you why.
10Domains and email
You buy your domain name (for example yourbusiness.co.uk) in your own name, and you pay for it and renew it. I'll help you choose and buy it, and I'll set it up to point at your website.
If you already have a domain, I'll use that one.
Email addresses on your domain aren't included. I'm happy to help you set them up with an email provider, which would be quoted as extra work.
11Ending the agreement
You can end hosting and care at any time with one month's notice.
I can end it with one month's notice too. I can also end it straight away if you seriously break these terms, for example by putting illegal content on the site, or if hosting and care has been unpaid for more than 60 days.
When it ends, I'll send you a copy of your words, photos and your customers' messages and bookings, then take the site down. Your domain stays yours, and I'll help you point it somewhere else. The design and code stay with me (see 8).
Anything you owe up to the end date is still due.
12Your customers' data
Your site's contact form, bookings and similar features collect your customers' personal details (such as a name, email address, phone number and message). Under UK data protection law (UK GDPR and the Data Protection Act 2018), you are the controller of that data and I am your processor. This section is our data processing agreement.
What I do with it: I only store your customers' data and show it to you in your editor, so that the feature works. I never use it for anything else, sell it, or contact your customers. I only act on your instructions, unless the law requires otherwise.
Keeping it safe: only you (signed in to your editor) and I can see it. It's sent encrypted, and it's stored with Supabase, in the EU (Ireland). Anyone who works with me on your site keeps it confidential.
Other companies: you agree that I can use Supabase (storing data) and Cloudflare (running the website) to provide the service. Each has its own data protection terms. I'll tell you before I add or change one, so you have the chance to object.
Helping you: if one of your customers asks to see or delete their details, I'll help you do it. I'll also help with anything else you need to meet your data protection duties.
If something goes wrong: if I find out your customers' data has been lost, seen or changed by someone who shouldn't have it, I'll tell you without delay, along with what happened and what I'm doing about it.
At the end: when our agreement ends, I'll send you a copy of the data and then delete it within 30 days, unless the law requires me to keep it.
Checking: I'll give you any information you reasonably need to show that this section is being followed.
Your part: you need a lawful reason to collect the data, and your site needs a privacy notice telling your customers what you do with it. I'll write a plain one for your site, which you should check.
13Liability
I'll do the work with reasonable care and skill. If something I built doesn't work as agreed, tell me and I'll fix it at no charge.
As far as the law allows, I'm not responsible for lost profits, lost business or other indirect losses, for problems caused by your content or by changes made in your editor, or for outages at the hosting companies that are outside my control.
My total liability to you under this agreement is limited to what you've paid me in the 12 months before the problem happened.
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else the law doesn't allow to be limited.
14Law and contact
These terms are governed by the law of England and Wales, and the courts of England and Wales can deal with any dispute. If anything goes wrong, please talk to me first, and I'll do my best to put it right.
For anything about your website, or to give notice: [email protected], a reply to any email I've sent you, or the contact form.
